MANAGEMENT Members The Uptown Theatre and Performance Centre, LLC is a Manager-Managed company pursuant to Article 15 of the Illinois Limited Liability Act as amended through January 1, 2000. Managing Member Paul W. Warshauer and Tax Finance Member, Jack L. Heller will serve as the Executive Management team for the LLC. Executive Members Paul Warshauer, Managing Member (Manager) Mr. Warshauer is the current Chairman of the Board of the Jefferson Group, Inc., and the Henslowe Group, Ltd. DBA The Portage Park Theatre. Mr. Warshauer establishes companies to develop unique real estate and entertainment opportunities. Warshauer created the Jefferson Street Theatre in Oregon and operated a 519-seat theatre utilizing private and public funds. The Jefferson Street Theatre presented conferences, television production classes, concerts, cultural programming, musical theatre productions and classes in theatre for adults children. Mr. Warshauer also has participated in the development of business plans for other theatres and nightclubs in Chicago, Texas, and California. He now lives in Harwood Heights, Illinois. He is a writer, director, producer and actor and has worked on over 200 theatrical productions. Mr. Warshauer owns property in Oregon and has served as a Property Manager. In addition, Mr. Warshauer was trained at Northwestern University and graduated from California State University, Northridge. He holds teaching credentials in three states. The Uptown Theatre and related properties will be his sole endeavor in the foreseeable future. Jack Heller, Tax & Finance Member Mr. Heller is an Enrolled Agent, licensed by U S Treasury Department, Internal Revenue Service, admitted to practice before the IRS. Mr. Heller has been intimately involved with private investment banking, equity placements and securitization. Mr. Heller has expertise with the sale of historic tax credits, creation of bonds and in corporate finance. Mr. Heller has represented for businesses and individuals in matters of collections, examinations, criminal investigation issues, and tax shelters. Mr. Heller lives in Buffalo Grove, Illinois. 35 8
