Co-generation projects financing options Based on the requirements of current legislation and tax features, Special Purpose Vehicle (S.P.V.) company will be created for project management. The ownership structure of the S.P.V. depends on whether the electricity is sold at “Green” tariff and on who will be the main beneficiary Project type Ownership structure Investment structure Projects feature No “Green” tariff The customer owns S.P.V. The project is 100% funded by customer S.P.V. imports equipment to Ukraine, obtains all necessary licenses and permits. GESS implements the project on a contractual basis. After project implementation the customer gets a fully working system that provides sustainable heat and energy supply. “Green” tariff Version 1 The customer owns S.P.V. The project is 100% funded by customer GESS structures and implements the project on a contractual basis. It also includes obtaining necessary licenses, permits and certifications. “Green” tariff Version 2 The customer owns S.P.V. 20%-40% - own financing, 80%-60% - debt financing GESS structures and implements the project on a contractual basis. It also includes obtaining necessary licenses, permits and certifications. Also GESS provides investment and insurance assistance. “Green” tariff Version 3 The customer and GESS co-own the S.P.V. 10%-20% - own financing, 10%-20% - GESS financing, 80%- 60% - debt financing The customer co-owns the S.P.V. and receives heat and electricity.
